Terms of Service (business customers)

Version 1.0, 18 October 2026 (draft, not yet in force).

Darragh Condell, a sole trader. Reef Studios is the name of his website. Contact: Enterprise Centre, Unit 9, Kilmallock Road, Flankerhouse, Limerick V94 TY82, Ireland; hello@reefstudios.ie ("we", "us"). These terms are between us and the business that orders a website ("you"). We only sell to businesses, so these are business-to-business terms. You accept them when you confirm an order by email (for example by replying "yes" to our order confirmation), and an email exchange is a valid written agreement for these terms.

1. What we provide

1.1 Website build: a website of up to 5 sections or pages, made for mobile first, with contact details, click-to-call, an enquiry form, a map and opening hours, basic search-engine set-up, and a secure (https) connection. The scope is what's described in our order confirmation email. 1.2 Two rounds of changes before launch are included. Further changes or new features are quoted by email before we do them. 1.3 Care plan: hosting, security certificate, backups, uptime monitoring, up to 30 minutes of changes per month (unused time doesn't roll over), and a short monthly check-up email. We aim to make small changes within 3 working days of your email. 1.4 We mostly work by email, so there's always a written record. If you'd rather talk something through, just ask and we'll arrange a quick call or meet in person. Anything agreed on a call is confirmed by email. 1.5 We aim to launch within 7 days of receiving everything on our content checklist. Delays caused by missing content, approvals or domain set-up on your side extend this.

2. Plans and prices

2.1 Standard: €399 launch fee plus €29 per month care, cancel any time with 30 days' notice by email. 2.2 Founding: as Standard, but with a €299 launch fee, for our first 10 clients. 2.3 Pay monthly: €59 per month for a minimum term of 12 months, then €29 per month care, cancel any time with 30 days' notice. If you end the plan in the first 12 months, you pay the difference (if any) between what you've paid and what the Standard plan would have cost for the same period (€399 + €29 for each month used, or €299 + €29 per month if you had the founding price). Once that's paid, you keep the site as on Standard. 2.4 We're not registered for VAT, so no VAT is charged. If we have to register for VAT, we'll give you at least 30 days' notice before VAT is added to future invoices. 2.5 Prices for care plans may change once a year with at least 60 days' email notice. You can cancel instead.

3. Payment

3.1 We invoice by email and you pay by bank transfer to the account on the invoice. Monthly fees can be paid by standing order. 3.2 Launch fee (Standard/Founding): due once you approve the final site. The site goes live within 2 working days of payment arriving. Pay monthly: the first month is due before go-live, then on the same date each month. 3.3 Invoices are due within 14 days. If a care or monthly payment is more than 30 days overdue, we may pause the site after giving you 7 days' email warning, and restore it once you pay. We may also claim statutory late-payment interest and compensation under the European Communities (Late Payment in Commercial Transactions) Regulations 2012. 3.4 Security: we will never ask you to pay to a different bank account by email. If you ever get such an email, don't pay it. Reply to us first.

4. Your responsibilities

4.1 You give us accurate content (text, prices, photos, logos) and you confirm you have the right to use it. You're responsible for your content, your prices and claims, and for any legal information your business must show. 4.2 You buy and own your domain name (we send instructions). You give us the DNS access needed to connect it, and you can remove that access at any time. 4.3 If you want us to tidy up your Google Business Profile, you stay the owner and add us as a manager only. 4.4 You won't ask us to publish anything unlawful, misleading or infringing.

5. Ownership

5.1 You own your content, domain and Google Business Profile at all times. 5.2 Once the launch fee is paid (or the Pay monthly term or difference in 2.3 is paid), you own the finished website: its design, text and files as delivered. We may reuse our general templates, code and know-how (without your content) for other clients. We license any such shared parts to you for free, for ever, for use on your site. 5.3 Stock photos are licensed under their providers' licences (e.g. Unsplash/Pexels), which permit commercial web use. 5.4 With your permission only, we may show your site as an example of our work.

6. Ending the agreement and leaving

6.1 Either side can end the care plan with 30 days' notice by email (subject to the 12-month term in 2.3). 6.2 When you leave, we send you a copy of your site files within 10 working days, at no charge, and help you point your domain elsewhere. We then delete your data as set out in clause 8. 6.3 We may end the agreement immediately if you seriously break these terms (for example unlawful content or non-payment after warning).

7. Liability

7.1 We provide the services with reasonable skill and care. Hosting is provided through reputable providers. We aim for high uptime but can't promise the site will never be unavailable. 7.2 We're not liable for indirect or consequential loss (such as lost profits, business or goodwill), or for problems caused by your content, your domain registrar or third-party services outside our control. 7.3 Our total liability under these terms is limited to the amount you paid us in the 12 months before the claim. 7.4 Nothing limits liability that can't legally be limited.

8. Data protection (data processing clause, GDPR Article 28)

8.1 Roles. For the personal data that visitors send through your website (e.g. enquiry-form submissions) and any personal data you give us for the site, you are the controller and we are your processor. For our own contact with you (emails, invoices), we are an independent controller (see our privacy notice). 8.2 Details of processing. Subject matter and purpose: hosting your website and delivering enquiry-form messages to you. Data: what visitors type into your form (typically name, email, phone, message) and any staff names/photos you supply. Data subjects: your customers, website visitors and staff. Duration: the length of the agreement plus up to 30 days. 8.3 We will: (a) process the data only on your documented instructions (these terms and your emails), unless law requires otherwise, in which case we'll tell you unless the law forbids it; (b) make sure anyone processing it is bound by confidentiality; (c) take appropriate security measures (Article 32), including encrypted connections, access limited to us, two-factor authentication on our accounts, and no storing of form submissions longer than needed to deliver them; (d) use only the sub-processors listed in 8.4, tell you by email at least 14 days before adding or replacing one (you may object, and if we can't resolve it you may end the agreement without penalty), and bind them to equivalent data-protection terms; (e) help you, as far as reasonably possible, respond to data-subject requests and meet your obligations on security, breach notification and impact assessments; (f) tell you without undue delay, and in any case within 48 hours, after becoming aware of a personal data breach affecting your data; (g) at the end of the agreement, delete or return the personal data at your choice, unless law requires us to keep it; (h) make available the information needed to show we comply with this clause, and allow and contribute to reasonable audits (by written questionnaire in the first instance, at most once a year). 8.4 Sub-processors (at 18 October 2026 (draft, not yet in force)): Cloudflare, Inc. (website hosting, security and form delivery); Google Ireland Ltd / Google LLC (business email). Where data is transferred outside the EEA, this relies on the EU-US Data Privacy Framework and/or the European Commission's Standard Contractual Clauses. 8.5 Your website will need its own privacy notice for visitors. We provide a simple template; you're responsible for its content.

9. General

9.1 These terms, plus our order confirmation email, are the whole agreement. Changes must be agreed by email. 9.2 Neither side is liable for delays caused by events outside reasonable control. 9.3 We may use other people or tools (including AI tools) to help build and maintain your site. We remain responsible for the work. 9.4 Irish law applies and the Irish courts have jurisdiction. 9.5 Notices are given by email: hello@reefstudios.ie for us, and the address you order from for you.
